These Terms of Service (“Terms”) govern your access to and use of the website located at mesa-alta.com (the “Site”), operated by Mesa Alta Research, LLC, a New Mexico limited liability company (“Mesa Alta,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Who We Are

Mesa Alta Research, LLC is a biotechnology research company headquartered in Albuquerque, New Mexico, focused on advanced liquid biopsy technologies for early cancer detection and minimal residual disease (MRD) monitoring. The Site is a professional information resource intended primarily for researchers, clinicians, pharmaceutical and diagnostics companies, and potential investors and partners.

2. Acceptable Use

You may access and use the Site for lawful, informational, and business development purposes consistent with these Terms. You agree not to:

• Use any automated tool (including scrapers, bots, or crawlers) to extract, index, or mirror content from the Site without our prior written consent
• Attempt to gain unauthorized access to any portion of the Site or its underlying systems or infrastructure
• Reverse engineer, decompile, or disassemble any software or technology associated with the Site
• Use the Site in any manner that could damage, disable, overburden, or impair our servers or networks
• Transmit any harmful, offensive, or unlawful content through communications initiated via the Site

All content on the Site — including but not limited to text, graphics, logos, images, scientific descriptions, technology methodology descriptions, and the overall look and feel of the Site — is the exclusive property of Mesa Alta Research, LLC or its licensors and is protected by applicable U.S. and international intellectual property laws.

The Plasma-Sieve technology, related apheresis methods, and any associated inventions described on the Site are proprietary to Mesa Alta Research, LLC and may be the subject of pending or issued patents, trade secrets, or other proprietary rights.

Nothing on this Site grants, by implication, estoppel, or otherwise, any license or right to use any intellectual property of Mesa Alta Research without our prior written consent. Any unauthorized reproduction, distribution, modification, or use of content from this Site is strictly prohibited.

4. Research Confidentiality

If you contact us with questions, proposals, or unsolicited ideas through the Site’s contact email, please be aware that such communications are transmitted over standard, unencrypted email channels and should not be assumed to be confidential unless a separate, written Non-Disclosure Agreement (NDA) has been executed between you and Mesa Alta Research prior to the disclosure. We cannot guarantee the confidentiality of unsolicited communications. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MESA ALTA RESEARCH, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT THEREON, EVEN IF MESA ALTA RESEARCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the greatest extent permitted by law. In all other cases, our maximum aggregate liability to you for any claims arising from or related to these Terms or the Site shall not exceed one hundred U.S. dollars ($100.00).

You agree to defend, indemnify, and hold harmless Mesa Alta Research, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Bernalillo County, New Mexico. You consent to personal jurisdiction in those courts and waive any objection to venue therein.

11. Entire Agreement and Severability

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mesa Alta Research with respect to your use of the Site. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Changes to These Terms

Mesa Alta Research reserves the right to update these Terms at any time. When we make changes, we will update the “Effective” date at the top of this page. Your continued use of the Site after any modification constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
